In his role as Of Counsel at Teeple Hall, LLP, Darryl Mazow brings more than 25 years of domestic and international experience in law, private equity, corporate finance, mergers and acquisitions, strategic planning, and matters involving turnaround of management and corporate development, and strategic planning. His industry expertise includes food & beverage, aviation services and manufacturing, consumer packaged goods, online retail, and business services.
In his role at Teeple Hall, LLP Mr. Mazow’s practice focuses on corporate and transactional matters primarily for family and founder owned companies and their stakeholders, providing a range of counsel on mergers and acquisitions, private placements of equity and debt, recapitalizations, joint ventures, and other general corporate matters, including acting as outside general counsel. Mr. Mazow also represents several private equity funds and independent sponsors in matters relating to acquisitions, divestitures, debt financings and general corporate matters.
Prior to his affiliation with the Firm, Mr. Mazow was Director of Transaction Finance and head of Lower Middle Market Uni-Tranche Finance for CapitalSource Business Finance Group, founded Medusa Capital Partners, a private investment firm focused on control equity investments; served as head Interwest Capital’s corporate acquisitions group. and was an associate at Trivest Partners, a lower middle market private investment firm located in Miami, FL. In addition, Mr. Mazow served as CEO and General Counsel for a large contract manufacturer of snack foods with locations in California and Illinois; served as acting CFO and Vice President of Corporate Development and General Counsel for Pemco Aviation Group, one of the largest aviation service companies in the world.
Mr. Mazow holds a J.D. cum laude from the University of Miami School of Law. He is also the Chairman and co-founder of The Anne M. Miller Foundation for Children Affected by Cancer, a charity that provides recreational, emotional, and educational support to children whose lives have been impacted by cancer.

Represented a global aviation services company in a variety of complex matters including the formation of a holding company structure, corporate and financial restructuring of European aircraft maintenance facility in bankruptcy, as well as various senior and subordinated debt financings. Led the acquisition of a defense contractor providing MRO services to domestic and foreign military units, the acquisition of a leading suborbital rocket company, as well as the sale of an aerial tow target company. Represented the company and its majority shareholder in its sale to a consortium of institutional investors.

Represented a packaged snack products company in matters regarding restructuring, equity recapitalization, senior debt financing. Led the acquisition of a soup manufacturing company, as well as the negotiation of a manufacturing agreement with a leading national brand and in the negotiation of a partnership agreement with the world’s largest manufacturer of snack products.

Represented the private equity owner in the sale of a specialty laboratory equipment manufacturing company.

Served as primary outside counsel for several companies including a leading organic food company, an online learning and content company, and a manufacturing and marketing company serving the specialty automotive aftermarket.

Represented the lender in the recapitalization of a leading online gaming company and a specialty commercial cleaning management company in uni-tranche debt financing.

Represented the private equity buyer in the acquisition and related senior and subordinated debt financing of an energy service provider on the western coast of the United States.
